Terms of Service

These Terms of Service (“Terms”) govern your use of the Meerkat Manager platform at meerkatmanager.com (the “Service”), operated by Meerkat Manager (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Account Registration
To use the Service, you must create an account with a valid email address. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service.
You are responsible for all activity that occurs under your account, whether or not you have authorised such activity.
2. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Upload or transmit malicious code, viruses, or harmful files
- Harass, abuse, or threaten other users
- Impersonate another person or entity
- Attempt to gain unauthorised access to other users’ data or folders
- Use the Service for spam, unsolicited advertising, or bulk messaging
- Interfere with or disrupt the Service or its infrastructure
- Circumvent any access controls or security measures
3. Your Content
You retain ownership of all content you create or upload to the Service (“Your Content”), including messages, files, documents, tasks, and forms. By submitting content, you grant us a limited licence to store, process, and display it as necessary to operate the Service, including AI processing for summaries and memory extraction.
You are responsible for ensuring that Your Content does not infringe on any third-party intellectual property rights.
4. AI Processing
The Service includes an AI assistant (Meerkat) that processes your messages, files, and documents. AI-generated content (summaries, memories, task suggestions) is provided as-is and may not always be accurate. You should review AI outputs before relying on them for important decisions.
If you use the “Bring Your Own Keys” option, your content may be sent to third-party AI providers under their respective terms of service.
5. Subscriptions and Billing
The Service offers free and paid subscription plans. Paid plans are billed per seat (user) per month or annually, as selected at checkout. Prices are listed in South African Rand (ZAR).
Payments are processed by PayFast. By subscribing to a paid plan, you agree to PayFast’s terms of service. You may cancel your subscription at any time; access continues until the end of the current billing period.
6. Folder Membership and Permissions
Folder administrators control membership and permissions. By inviting someone to a folder, you grant them access to that folder and all child folders. Administrators may remove members or modify permissions at any time.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience downtime. We will make reasonable efforts to notify users of planned maintenance.
8. Limitation of Liability
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities.
Our total liability for any claim arising from or related to the Service is limited to the amount you have paid us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
10. Termination
We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination, we will delete your personal data in accordance with our Privacy Policy.
11. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of South Africa.
12. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes via email or an in-app notification. Continued use of the Service after changes constitutes acceptance of the revised Terms.
